Job Description

Premier Bergen County law firm for over100 years seeks an experienced Corporate Paralegal to assist attorneys with corporate matters and transactions. Hours are Monday - Friday 8:30am - 5:00pm. Currently on a hybrid work schedule (three days in the office and two days at home). This is subject to change. The expectation is that you will be in the office as needed and adjust your schedule accordingly. Salary depends on experience. Company offers comprehensive benefits package, including health, retirement 401(k), profit sharing, and PTO.

Responsibilities:
Drafting legal documents, managing corporate records, maintaining regulatory compliance, and coordinating due diligence for transactions.
Coordinate virtual data rooms, upload/organize files, and review documents to summarize liabilities, contracts, and permits.
Draft ancillary agreements, asset/stock purchase agreements, and merger documents.
Prepare meeting agendas, draft notices, draft resolutions, and compile materials for board packets.

Job Requirements

Qualifications:
5+ years of experience in governance, business planning, financial and transactional practice.
College degree and/or paralegal certificate required
Highly organized and possess the ability to prioritize, be a team player, and have excellent written and verbal skills.
Strong working knowledge of Microsoft Word and Excel preferred.
